O2Micro Files for Follow-On Public Stock Offering

SANTA CLARA, Calif. & GEORGE TOWN, Grand Cayman--(BUSINESS WIRE)--Sept. 4, 2001--O2Micro International Limited (Nasdaq:OIIM - news) announced today that it has filed a registration statement with the Securities and Exchange Commission for a follow-on public offering of 5,000,000 shares of the company's ordinary shares, all of which will be offered by the company. The managing underwriters of the offering are Robertson Stephens, Inc., SG Cowen Securities Corporation, U.S. Bancorp Piper Jaffray Inc. and Needham & Company, Inc. In addition, O2Micro and certain existing shareholders have agreed to grant the underwriters a 30-day option to purchase up to 750,000 additional ordinary shares solely to cover over-allotments, if any.


The net proceeds of the offering to the company are currently expected to be used for working capital, potential strategic investments or acquisitions and other general corporate purposes.


O2Micro designs, develops and markets high performance integrated circuits for power management, power saving applications and computer security applications. The company's integrated circuits use mixed signal designs, which combine analog and digital circuits on the same chip. The company focuses its product design efforts on integrated circuits for the mobile computing, communications and other consumer electronics products markets.


A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective.
