2020 US$800,000,000 Fixed Rate Notes due 28 December

2021 The Company
announces the following changes in directorship all of which occurred for
administrative reasons: ·
on 24 September 2012, at a meeting of the directors of
the Company, James Fenelon DesMarais and Roger Clark Tooze resigned as directors
of the Company with immediate effect and Joseph Feliciani and Kevin Perry were
appointed as directors of the Company with immediate
effect. ·
On 24 October 2012, at a meeting of the directors of the
Company, Kevin Perry resigned as a director of the Company with immediate
effect; ·
on 26 October 2012, at a meeting of the directors of the Company,
Steven Ellsworth Buller was appointed as a director of the Company with
immediate effect. Following the
various changes in the board of directors of the Company, the current directors
consist of Steven Ellsworth Buller, Colin Roy Thomson and Joseph
